Heidi Wachs, Esteban Morin, Michael Borgia

The time has come to dig deep on privacy and cybersecurity during the M&A process. Review of policies and form questionnaires often cannot provide the insight needed to identify problematic source code, limited coverage by security detection tools, immature software development lifecycles, network vulnerabilities and other issues. This session will discuss key lessons learned from the panelists’ diverse experiences with the M&A process, including pitfalls from neglecting to thoroughly look at an acquisition target’s data practices and infrastructure. The panelists will share their strategies for determining the appropriate types of assessments during diligence. They will also discuss the value of diverse expertise and how best to collaborate with technical consultants. The session is designed to provide legal, business, and technical stakeholders with insights that will allow them to better plan for the “new world” of M&A.
